Creating an English Agreement for Share Purchase Agreement (SPA) and checkpoints of the Agreement
Most of the English agreement for Share Purchase Agreement (SPA) is created for cross-border acquisitions. Japanese companies are involved in typical cross-border M & A deals, such as selling shares of a Japanese company to a foreign company or acquiring shares of a Japanese company from a foreign company. Recently, there are increasing number of cases in which Japanese companies acquire shares in foreign companies and Japanese companies sell shares in foreign companies.
In this seminar, I would like to consider how to define the Condition Precedent, what kind of provisions should be described as warranty statement clauses, closing procedures, and how to create documents which is delivered at the time of closing. These are important things in cross-border M & A deals. We will also check how escrow will be used in M & A deals.
