Creating an OEM contracts in English
In an English-language OEM agreement, the consignor specifies product specifications to the consignee and commissions for the manufacturing, and the consignee sells the products manufactured in accordance with the consignor’s instructions to the consignor under the consignor’s brand. Since the products will be sold under the consignor’s brand, care must be taken to ensure that the brand will not be damaged by defective products.
An OEM agreement in English can be said to be a mix of a contract for manufacturing and a contract for selling of the manufactured product. Therefore, when drafting an OEM agreement, it is necessary to consider both the contractual content related to manufacturing and the contractual content related to the sale of the product. In addition, there is a conflict of interest between the consignor’s side and the consignee’s side.
Depending on whether the party drafting the contract is the consignor or the consignee, the points to be considered when drafting the contract will differ greatly.
In this seminar, we will focus on what points need to be considered when drafting an OEM contract when either the consignor or the consignee is an overseas company, and what points need to be considered when drafting the contract on the consignor’s side or the consignee’s side.
