Creating an English distributorship agreement
When a Japanese company becomes a sales agent of a foreign company, the foreign company usually presents a sales distributorship agreement in English. By entering into a sales distributorship agreement, the Japanese company will continue to sell the foreign company’s products and services, thus establishing an ongoing contractual relationship with the foreign company. If the content of the contract is disadvantageous to the Japanese company, the Japanese company will suffer a great deal of damage. Also, depending on the content of the contract, the Japanese company may not be able to make a profit even though it has worked hard to do so.
There are several points to consider when negotiating a distributorship agreement with a foreign company.
- Is the margin to be obtained by the Japanese company appropriate?
- Can the minimum quantity to be purchased be achieved?
- Is there a possibility of sudden termination of the contract?
- Will the supplier fulfill its quality assurance responsibilities?
These are all related to the terms of the contract. If a foreign company presents you with a draft of a distributorship agreement, you should consider what counterproposal to make to ensure that your company’s requirements are met. Negotiating an English contract is not only about the amount of money. It is important to consider the various terms and conditions of the contract to minimize the risk to your company.
