Points to keep in mind when translating English contracts into Japanese

When you are drafting or reviewing an English-language contract, you are likely to encounter Indemnification clauses, which are probably the most difficult clauses to understand in a typical English-language contract.

Indemnify means to exempt the other party from liability or not to hold the other party liable; when A indemnifies B, it means that A exempts B from liability and does not hold B liable. As a result, if B is in any way liable or suffers damages, A will have to compensate B for those damages. In this case, A, who exempts the other party from liability (i.e., disclaims liability), is called the disclaiming party, and B, who is being exempted from liability, is called the indemnified party.

A similar term to Indemnify is Hold Harmless. This means to hold the other party harmless. For example, by entering into a contractual relationship, the other party may receive a claim for damages from a third party. In such a case, the other party is to be compensated for the damages suffered by the other party, thereby preventing the other party from being harmed. In Japan, it has a meaning similar to that of “guarantee”.

In this seminar, we will study the Indemnification Clause, which is one of the most difficult clauses in English contracts, to understand the exact content of the Indemnification Clause and consider how to effectively utilize it to secure the interests of your company.
