Free online seminar on Arbitration Clauses in English Contracts
When conducting business with overseas companies, it is common to draw up an English Sale & Purchase Agreement. When drawing up an English Sale & Purchase Agreement, you will need to specify the items to be sold, the price, the delivery date, etc., but there are also several other points to keep in mind.
If a dispute arises with an overseas company, you may not receive payment, and if you are sued in a foreign country, you may incur millions of dollars in legal fees and litigation costs.
To avoid being sued abroad, it is effective to establish exclusive jurisdiction in Japan. Even if sued abroad, you can argue that the jurisdiction provisions have been violated to have the lawsuit dismissed in the foreign country. Additionally, setting a cap on damages or shifting the burden of proof for breach of contract to the other party can also be effective.
In this seminar, we will use an English Sale & Purchase Agreement to understand the mechanisms of international trade and review key points to consider when drafting English-language contracts and negotiating agreements with overseas businesses.
