Free Online Seminar on Warranty Clauses
After receiving goods or services, it is possible that the goods are defective or the service content differs from the initial agreement. In such cases, for transactions between Japanese companies, the provisions of the Civil Code apply, allowing you to pursue liability for breach of contract against the company that provided the defective goods or services.
On the other hand, in international transactions, depending on the applicable governing law, you cannot immediately claim damages even if the goods or services are defective. In transactions with these countries, you must stipulate warranty and representation clauses in the contract and pursue damages as a contractual right. Therefore, including warranty and representation clauses in the contract is extremely important.
There are no fixed rules for how to draft warranty and representation clauses. You need to establish these clauses through discussions with the other party, referencing past transaction examples and similar cases.
In this seminar, we will examine what constitutes an appropriate warranty clause from both the seller’s and buyer’s perspectives. You will also learn how to formulate counterproposals when you find the warranty clause proposed by the other party unsatisfactory.
Warranty clauses are not only included in corporate acquisitions but also in standard sales contracts and business outsourcing agreements. Understanding the content covered in this seminar will therefore be broadly applicable.
