Free online seminar on English Service Agreement
When you are commissioned by an overseas business to perform work, you will likely need to draft a Service Agreement in English. A Service Agreement is a contract that stipulates the provision of specific services and the payment of compensation in return.
When contracting with a Japanese company, it is relatively easy to resolve any issues through discussion. However, if a dispute arises with an overseas business, complex procedures such as litigation may be required.
When drafting a Service Agreement in English, you need to confirm the following points:
- If sued for quality issues, which court will handle the case?
- If litigation occurs overseas, how much will attorney fees cost?
- What is the likely amount of the final judgment?
- How should we handle complaints from overseas business partners?
- Will payment be made in full?
- If payment is not made, how should we pursue the claim?
In this seminar, we will outline the key considerations Japanese companies should keep in mind when drafting a Service Agreement in English or conducting contract negotiations, and we will explore how each of these points should be addressed in the contract.
