Free online seminar on “Contract Negotiations with Foreign Companies in M&A”
This time, we will be holding a seminar on “Contract Negotiations with Foreign Companies in M&A Transactions.” Drawing on examples of cross-border M&A cases our firm has handled, we would like to discuss with participants the key points to keep in mind when negotiating contracts with foreign companies.
In cross-border M&A, how the closing is handled is particularly important. In M&A transactions, the payment of consideration and the transfer of control over the company must occur simultaneously. This is because it is possible for the seller to refuse to cooperate with the transfer of control even after payment has been made. In cross-border M&A, it is necessary to devise measures—such as using an escrow agent—to achieve a de facto state of simultaneous performance.
In addition to the above, other important topics include how to draft representations and warranties clauses and how to verify the identity of foreign individuals and companies.
