Outline of the Case
The seller’s founder was over 80 years old and was approached by a company in the same industry about a merger and acquisition. We represented the seller and advised on the drafting of a stock transfer agreement. Since the seller’s company had an employee stock ownership plan, it was decided to purchase all shares from the employees and then sell the shares.
