A case in which 100% of the shares of a small Japanese company were sold to a company in the same industry
Outline of the Case
The seller’s founder was over 80 years old and was approached by a company in the same industry about a merger and acquisition. We represented the seller and advised on the drafting of a stock transfer agreement. Since the seller’s company had an employee stock ownership plan, it was decided to purchase all shares from the employees and then sell the shares.
In M&A of Japanese companies, we assist with due diligence, prepare due diligence reports, discuss and coordinate contract terms, purchase shares from employees, coordinate with financial institutions regarding joint guarantees, and advise on stock price calculations.
