Creating an English franchise contract
An English franchise agreement is an agreement between a franchisor and a franchisee for the franchisor to sell products or services developed by the franchisor through the franchisee. Examples include the McDonald’s and Kentucky Fried Chicken franchise agreements.
A franchise agreement is similar to a distributorship agreement in that the franchisee purchases goods from the manufacturer and sells them to consumers under its own risks, whereas in a franchise agreement, the franchisee uses the franchisor’s trademark and provides goods and services under the franchisor’s manual. In a franchise agreement, the franchisee uses the franchisor’s trademark to provide products and services based on the franchisor’s manual.
A franchise agreement is extremely useful when a Japanese company lends a brand or know-how developed by the Japanese company to an overseas business operator to provide goods or services under the brand name owned by the Japanese company. An English-language franchise agreement is also necessary when a Japanese company becomes a franchisee of an overseas business and provides products or services of the overseas business in Japan.
In this seminar, we will explain the points to be considered when preparing an English-language franchise agreement, including how to structure the franchise.
