Creating an English Sale & Purchase Agreement
When selling goods to or purchasing goods from a foreign company, an English sale & purchase agreement should be prepared. You need to be aware that an English sale & purchase agreement is the foundation of your business, not because you cannot do business without one or because the other company requires you to sign one.
If you are a company that sells products, you will try to gain the trust of your customers by making your products look and function as good as possible. The contract is not the thing itself that the company offers, but it is closely intertwined with the products that your company offers, and the provision of goods, the provision of services, and the content of the contract together constitute the value that your company offers. The customer pays for the value that your company provides.
If the purchase price of a product sold for 100 million yen is 70 million yen, your gross profit will be 30 million yen. If transportation and insurance costs cost 10 million yen, your company’s profit would decrease to 20 million yen. Similarly, if your company bears the foreign exchange risk, the profit of 20 million yen may be further reduced. As an ex-Works transaction, you would want the buyer to bear all costs after leaving the factory and all risks during transportation. It is also necessary to properly determine how foreign exchange risk will affect your company’s profits.
