Creating an English non-disclosure agreement
Confidentiality agreement is also known as Non-Disclosure Agreement or Confidentiality Agreement. In international transactions, they are often referred to by the acronym NDA or CA. The purpose is to prohibit confidential information from being disclosed to outside parties and to prohibit its use for purposes other than those for which it was originally intended. A nondisclosure agreement can be executed to stipulate how the information is to be managed.
The revision of the Personal Information Protection Law requires stricter information management, including in situations where information is taken out of the country. It is necessary to reevaluate how to manage information not only with business partners, but also with employees and subcontractors.
In this seminar, we will discuss in detail how to draft a nondisclosure agreement in English and the checkpoints to be considered when drafting a nondisclosure agreement in English, and we hope to bring participants to a level where they can draft their own nondisclosure agreements in English.
